"BIG STUDIOS" COMMERCIAL End User License Agreement (EULA)

YOU SHOULD CAREFULLY READ THE FOLLOWING TERMS AND CONDITIONS BEFORE USING THIS PRODUCT.

THIS IS A LEGAL AGREEMENT BETWEEN YOU AND DEXSOFT-GAMES.COM.
IF YOU DO NOT ACCEPT THESE TERMS AND CONDITIONS, YOU SHOULD NOT USE THIS PRODUCT.
BY PURCHASING, DOWNLOADING, COPYING, OR OTHERWISE USING THE PRODUCT,
YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS AND CONDITIONS, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM.
IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, YOU SHOULD NOT USE THIS PRODUCT.



End User License Terms:

1. LICENSE AGREEMENT
This sets forth the entire agreement between DEXSOFT-GAMES, Inc. ("Licensor") and the Licensee relating to the use 
of the content in hard media form or downloadable from the Licensor website, www.DEXSOFT-GAMES.com, or affiliates.


2. LICENSE GRANT.

Licensor grants Licensee a single "seat" to an individual, a limited non-exclusive, non-transferable license to use 
the DEXSOFT-GAMES assets for the purposes of making an unlimited number of electronic single or multi-user game for entertainment ("Games"). 
This product and all of its content is proprietary material of DEXSOFT-GAMES.COM

(a) Licensee may publicly sell, distribute, release, publish, transmit and/or exploit any Games created with our assets.

(b) With the exception of the platforms and their respective successors described in Section 3, Licensee may have the Games published in any 
channel by any publisher with no royalties. 

(c) This license permits the use of the assets for non-Game application such as simulations, virtual worlds, or other non-Game products,
as long as assets are in protected form (dll, exe or some other protected format file). 


3. RESTRICTIONS.
The following restrictions apply to the use of this Engine:
(a) This licence is granted for BIG STUDIOS.
(b) Companies which grow to greater than $250,000 USD annually are required to use this Commercial Product License for each seat of the 
assets being used immediately.
(c) This product and all of the assets of this product including, but not limited to, all models, textures and any derivative works thereof, 
may not be resold, reworked and re-distributed individually or as a package offering in any format outside of the project work of the initial purchaser 
as described in section 1 without the prior written permission of DEXSOFT-GAMES.COM. 
(d) You MAY NOT modify models and sell them in model collections or individually.
(e) You MAY NOT use textures for models which will be sold like model collections or individually.


4. FEES.
(a) When Licensee pays fee when purchase assets that is final payment. There are no additional royalties. Licensee does not have to show the 
Games made with our assets.
(b) Licensor may use Licensee's name in connection with the Games and in any customer reference list or in any press release issued by Licensor 
regarding the licensing of the assets.

5. TERMINATION OF THIS LICENSE:
DEXSOFT-GAMES.COM may terminate this license at any time if you are in breach of the terms and conditions of use.
Upon such termination you agree to immediately destroy all copies of this product, any derivative works of the product 
and all of its accompanying documentation.

6. DISCLAIMER AND WARRANTY:
DEXSOFT-GAMES.COM  provides the products related to this agreement "AS IS" without warranty, expressed or implied. 
DEXSOFT-GAMES.COM is in noway responsible for the functionality or marketability of the product and the purchaser agrees to assume 
total responsibility and risk in regards to the use of this product.

7. CHOICE OF LAW:
This agreement will be governed by the laws of the State of Washington, U.S.A., excluding its conflict of law provisions.
Unless otherwise agreed in writing, all disputes relating to this Agreement shall be subject to final and binding arbitration 
in Potsdam, Germany with the loosing party paying all costs of arbitration.
